1.2
Eligibility
To access or use the platform, you must be of legal age under the laws of your jurisdiction. The platform is provided solely for your personal use. You are not permitted to access or use the platform if your account has been suspended or terminated by us. We grant you a limited, non-exclusive, non-transferable license to access and use the platform and its product. This license is conditional upon your compliance with these Terms of Use and is granted at our discretion. We may suspend, restrict, or revoke this license at any time, with or without notice.

Account & ID Creation
1.3.1
ACM Platform Overview
The Atlantus Coin Market (ACM) is a COA-enabled digital asset platform designed to facilitate the issuance, activation, and management of Cycle-Held Liquidities (“CHLZ”), which are NFT-based instruments that automate disciplined asset accumulation through Dollar-Cost Averaging (“DCA”). CHLZ enables users to allocate funds into predefined or user-configured digital asset strategies that execute periodic purchases over fixed cycles, in accordance with immutable smart contract rules.
1.3.2
VMCC-Based Access and Account Continuity
ACM does not issue or maintain a separate identity layer. Platform access is derived exclusively from a user’s existing VMCC License and the wallet address associated with that license. Upon wallet connection, ACM performs an on-chain verification to confirm that the VMCC License is active and valid. Where verification is successful, relevant account data, permissions, and history are automatically retrieved from the VMCC database and made available within ACM, eliminating the need for duplicate onboarding. Any VMCC-approved wallet re-binding is recognised by ACM without disruption to access rights or account continuity across the VMCC Buikder DAO.
1.3.3
Interoperability and Governance Controls
ACM operates as an interoperable extension of the VMCC framework and enforces access, participation, and operational rules in alignment with Builder DAO governance standards. ACM reserves the right to apply additional compliance requirements, access limitations, or trading controls specific to the platform, provided such measures remain consistent with VMCC identity structures and overarching governance principles.

ACM Platform Overview
The Atlantus Coin Market (ACM) is a VMCC Builder DAO digital asset platform designed to facilitate the issuance, activation, and management of Cycle-Held Liquidities (“CHLZ”), which are non-custodial NFT-based instruments that automate scheduled asset accumulation through Dollar-Cost Averaging (“DCA”). SECTION 2: GENERAL TERMS
2.1
Risks
2.1.1
You expressly agree that you assume all risks connected to your use of the platform and your interaction with the platform. To the extent permitted by applicable law, you waive and release us from any liability, claims, causes of action, or damages arising from or relating to your use of the interface or your interaction with the platform.
2.1.2
You acknowledge and agree that the platform facilitates your interaction with decentralized networks and related technology. We do not control any blockchain or digital assets, do not guarantee that any transaction you submit or receive will be confirmed on the relevant blockchain, and cannot process, reverse, cancel, or modify any transaction. To the extent permitted by applicable law, we bear no responsibility for any delays, failures, or losses resulting from blockchain operations or network conditions.
2.1.3
You are solely responsible for the security and management of your wallet, private keys, seed phrases, and any associated credentials. We do not store, hold, or recover private keys or access credentials and cannot assist with the recovery, restoration, or replacement of a lost, compromised, or inaccessible wallet. To the extent permitted by applicable law, any loss of access to your wallet or credentials is solely your responsibility.

We do not withhold, calculate, report, or remit any taxes on behalf of users. You remain solely responsible for determining, reporting, and paying all taxes arising from your use of this platform, including any gains, income, or transactions related to digital assets or financial activities. MOBI Automation bears no responsibility or liability for your tax obligations or for any failure to comply with applicable tax laws in any jurisdiction.
2.3
Third-Party Providers
MOBI Automation neither owns, operates, nor controls MetaMask, Trust Wallet, Token Pocket, Google Chrome, or any other third-party site, product, service, or digital wallet you may use to access or interact with our platform. We do not endorse, guarantee, or assume responsibility for the functionality, security, or reliability of any such third-party services. You acknowledge and agree that any access, transaction, or interaction you conduct through these third parties is at your own risk. MOBI Automation shall not be liable for any direct, indirect, incidental, consequential, or other damages, including but not limited to loss of funds, data, or digital assets, arising from the acts, omissions, or errors of any third-party services, or your use of them in connection with our platform.
2.4
Ownership
Minting or the purchase of any of our Non-Fungible Tokens (NFTs) or interacting with any of our protocols is not to be construed as an ownership or shareholding right of our company. We reserve the sole right to decide the channel or percentage of reward, which may be subject to change from time to time.
2.5
Updates and Amendments
We reserve the right to amend these Terms of Use from time to time and disclose such amendments by way of announcement on the platform. We will also update the "Last Updated" date at the top of these Terms without sending a separate notice of the changes. The date when the amendment is made will be indicated on the first page of the amended Terms. You shall browse this website from time to time and follow the information on the time and content of amendments made to these Terms. If you do not agree with the modifications, you shall stop using the platform offered by this website immediately; if you continue to use the platform provided by this website, it shall be deemed that you accept and agree to be bound by the amended Terms.
2.6
Records
Genesis Keys and other digital assets exist exclusively as on-chain records governed by smart contracts deployed on the BNB Chain. Ownership, transfer, and state changes are determined solely by the decentralised BNB blockchain and any interoperable protocols used in connection with it, including cross-chain infrastructure such as DeBridge’s Cross-Chain Interoperability Protocol (CCIP).
MOBI Automation does not control, alter, or administer the underlying blockchain, validator networks, or cross-chain relayers, and therefore makes no guarantees regarding transaction finality, network performance, record integrity, or asset availability beyond what is recorded on the relevant blockchain. Any failure, delay, fork, exploit, or disruption in the BNB Chain or connected cross-chain systems is outside our control and not our responsibility.
3.
SECTION 3: THE INFORMATION ON OUR PLATFORM
3.1
Platform Availability and Unavailability Errors
The platform is provided “as is” without guarantees. Intermittent outages or errors may occur due to network or technical issues. We use commercially reasonable efforts to maintain operation. Scheduled maintenance may require temporary downtime with notice where feasible. Emergency maintenance may occur without prior notice.
3.2
Changes and Restrictions
We reserve the right to implement functional, procedural, or technical changes and to temporarily or permanently restrict, remove, or terminate platform features or access. We will use commercially reasonable efforts to provide prior notice of material changes affecting core functionality where practicable. Any such changes or restrictions do not create any obligation on the platform to provide compensation, reimbursement, or damages to users.
3.3
Accuracy of Information
While the platform endeavors to provide accurate information, we do not guarantee its reliability, completeness, or suitability for any purpose. You acknowledge that all reliance on information is at your own risk, and we disclaim any liability for direct, indirect, consequential, or incidental damages arising from such reliance.
4.
SECTION 4: EXTERNAL LINKING
4.1
External Linking and Brand Representation
Entities or individuals intending to establish hyperlinks from external websites to the platform must adhere to the following stipulations:
4.1.1
Link Specifications
Permissible link text shall be strictly limited to one of the following formulations: "ACM Dashboard" or "Link to [ACM dashboard]". Any deviations from these prescribed formulations shall constitute a violation of these terms.
4.1.2
Content Regulations
The hosting website must not contain, display, or promote content that is unlawful, defamatory, obscene, or otherwise objectionable as determined by the platform's sole discretion, or material that infringes upon intellectual property rights or proprietary interests, or information that could be construed as fraudulent, deceptive, or misleading.
4.1.3
Brand Integrity Provisions
Under no circumstances shall the linking entity imply or suggest any form of affiliation, partnership, or endorsement by the platform without express written authorization or utilize the platform's trademarks, logos, or branding elements in a manner that could dilute, tarnish, or otherwise harm the platform's reputation or engage in activities that may create confusion regarding the relationship between the external site and the platform.
4.1.4
Compliance and Enforcement
The platform may revoke linking privileges at any time without prior notice and require removal of non-compliant links within three (3) days, which may be reasonably extended upon request. Links must not imply affiliation or endorsement, display altered logos, or otherwise mislead or harm the platform’s reputation. The platform may pursue legal remedies for violations.
5.
SECTION 5: PRODUCTS AND CURRENCY
5.1
ACM Platform Structure & Access Scope
5.1.1
A user accesses ACM by connecting the wallet address associated with their VMCC registration. Upon connection, ACM automatically retrieves and applies the user’s verified VMCC identity data through on-chain verification, without requiring additional onboarding, identity creation, or KYC, provided the VMCC License remains active and compliant. All access rights and permissions within ACM are anchored to the VMCC License and the verified wallet association.
5.1.2
Following access verification, ACM performs an automated protocol-level scan of the connected wallet for Ecosystem Value Tokens (“EVTs”). EVT holdings determine functional access within the platform, including eligibility for applicable CHLZ automated DCA execution percentage. Where required EVTs are not present, access to the platform remains unavailable. All permissions and operational rights are enforced through protocol-level rules, with ACM operating solely as an execution and interaction layer within the VMCC Builder DAO.
5.2
ACM Accounts & Configuration
5.2.1
ACM Accounts serve as the primary control layer for user participation in structured products, digital asset interactions, and transaction-related activities within the platform.
5.2.2
Through ACM Accounts, users can configure Cycle-Held Liquidities (CHLZ), initiate Dollar-Cost Averaging (DCA) strategies, and manage product parameters associated with supported digital assets and tokenized products.
5.2.3
All ACM Account actions are executed through smart contract logic and recorded on-chain, ensuring transparency, auditability, and compliance with platform rules, as enforced by the protocol.
5.3
Digital Assets Supported on ACM
5.3.1
ACM supports digital assets that are approved for use within the VMCC Builder DAO. Such assets include VMCC-native tokens, partner community tokens, CHLZ-based product instruments, and any other digital assets expressly authorised through applicable platform governance processes.
5.3.2
The availability, visibility, and usability of any supported digital asset within ACM are subject to protocol rules, user permissions, community affiliation, liquidity conditions, and applicable legal or regulatory requirements. ACM does not guarantee the continuous availability of any specific digital asset and reserves the right to restrict, suspend, or modify access to assets in accordance with governance decisions or compliance obligations.
5.4
Transaction Processing & Execution
5.4.1
All transactions on ACM are executed via decentralised smart contracts and recorded on-chain. ACM does not manually process, reverse, cancel, or interfere with transactions once submitted to the network. Transaction execution is subject to network conditions, smart contract rules, liquidity availability, and protocol-defined limits.
5.4.2
Users are solely responsible for verifying all transaction details, including asset type, amount, and destination, prior to approval. Transactions may only be cancelled before on-chain execution. Once a transaction is approved through the user’s wallet, it is final and irreversible, and wallet approval constitutes absolute confirmation.
5.4.3
ACM reserves the right to limit, suspend, or halt any transaction or in-system action, including deposits, without liability, where required for compliance, security, network integrity, or operational reasons.
5.5
Withdrawals & Conversions
5.5.1
Users may request withdrawals of eligible digital assets from ACM to external wallets, subject to platform rules, exit mechanisms, and applicable limits.
5.5.2
Certain assets or instruments may be subject to conversion rules, holding periods, exit adjustments, or liquidity constraints designed to preserve platform stability and long-term value.
5.5.3
ACM reserves the right to apply protocol-level safeguards to withdrawals, including throttling, batching, or conversion adjustments, where necessary to protect ecosystem integrity.
6.
SECTION 6: PROTOCOLS AND FEATURES
6.1
CHLZ Protocol Overview
The CHLZ Protocol operates through tokenized instruments issued on the ACM platform, including CHLZ and CHLZ Partner Token Futures (PTF). These instruments are minted as NFTs that encode predefined operational rules governing cycle duration, automated execution logic, tradeability conditions, withdrawal parameters, and protocol-defined incentives. Once activated, the embedded smart contract conditions execute autonomously according to the immutable rules defined within the protocol. There are some associated categories and attributes of which include:
6.1.1
CHLZ are instruments designed to execute automated Dollar-Cost Averaging (DCA) strategies across multiple publicly traded cryptocurrencies. CHLZ utilises Token Claim Ticket (TCT) technology, which enables users to allocate purchases across selected tokens based on user-defined percentage allocations. The DCA execution occurs only during the first operational cycle following activation. Subsequent cycles do not include DCA execution and instead operate under predefined rules governing holding periods, tradeability conditions, applicable transaction taxes per cycle trade, and fractionability parameters. CHLZ operate within two structural classes, Micro and Macro, each defined by specific cycle configurations.
6.1.2
CHLZ Partner Token Futures (PTF) are instruments structured for partner tokens within the ACM ecosystem. PTFs utilise Coin Rebase Credit (CRC) technology, which rebases partner tokens within the protocol structure and locks the rebased tokens for a defined operational cycle. PTFs do not execute Dollar-Cost Averaging. Instead, the rebased tokens remain locked for the applicable cycle while the protocol governs the release, tradeability, and associated conditions according to the immutable smart contract rules embedded in the instrument.
6.2
Ecosystem Value Token (EVT)
Ecosystem Value Tokens (“EVTs”) are protocol-issued tokens used to determine DCA rates for CHLZ. EVT ownership directly influences the monthly DCA rate applied across all CHLZ categories. EVTs function to calculate incentives and variable DCA rates.
6.3
CHLZ Activation and DCA Execution
6.3.1
Activation of a CHLZ initiates the immutable smart contract conditions encoded within the instrument and begins the protocol’s four-cycle structure. The first cycle is the Accumulation Cycle, during which automated Dollar-Cost Averaging (DCA) executes for a period of two years based on the user’s selected token allocations. This is followed by three consecutive two-year cycles: Appreciation, Acceleration, and Amplification. These cycles operate without further DCA execution and instead apply the protocol’s predefined appreciation mechanics, including progressively increasing base values and appreciation rates.
6.3.2
Upon activation, users select the tokens to be included in the DCA process and define their allocation percentages according to their product preferences. If a selected token becomes defunct, the protocol administrators will delist the token and activate a replacement function for affected users. Monthly DCA allocations assigned to the delisted token will pause until the user selects a replacement token, after which any accumulated DCA value will be applied to the new token and normal execution will resume. The percentage allocation applicable to each CHLZ remains dependent on the user’s EVT holdings as determined by the governing smart contract.
6.4
CHLZ Types and Characteristics
6.4.1
Micro CHLZ
This allocates DCA exposure primarily into altcoin tokens and are structured with five-token Token Claim Tickets (TCTs). They have fixed entry values of $100, $500, or $1,000 and operate across four two-year cycles: Accumulation, Appreciation, Acceleration, and Amplification. DCA execution occurs only during the first cycle, during which monthly allocations are executed and locked in accordance with the protocol rules. Micro CHLZ are non-fractionable, meaning the instrument must remain whole and cannot be divided into smaller units.
6.4.2
Macro CHLZ
This allocates DCA exposure across ten-token TCTs, typically consisting of altcoins from developing projects, with entry values ranging from $2,500 to $10,000. Macro CHLZ operate under the same four-cycle structure but are fractionable into $500 units (fractals). Each fractal retains the proportional value and accrued allocations of the original instrument, while any future protocol conditions tied to participation remain dependent on the EVT holdings of the current holder as determined by the governing smart contractThis allocates DCA exposure across ten-token TCTs, typically consisting of altcoins from developing projects, with entry values ranging from $2,500 to $10,000. 6.4.3
For both Micro and Macro CHLZ, withdrawal of accumulated DCA token value becomes available only after the completion of the first cycle. When withdrawals occur, the underlying token value is converted into USDT, and token appreciation pauses during the withdrawal period. Withdrawal frequency decreases per the protocol schedule: four withdrawal windows per year (every three months) during Cycle 1 after activation; three withdrawals per year during Cycle 2; two withdrawals during Cycle 3; and one withdrawal during Cycle 4, with the associated tokens temporarily frozen during each withdrawal.
6.5
Marketplace
Your VMCC Dashboard provides a comprehensive overview of all digital assets held in your account, including but not limited to gPRLZ, sPRLZ, VME Credits $GRIT tokens, and other supported ecosystem assets, with real-time balance updates reflecting the most current blockchain data.
6.5.1
PRLZ Swap
PRLZ Swap enables the trading of partner community tokens and other listed tokens within the protocol environment. Users are able to access price data, liquidity depth, historical performance metrics, and comparative analytics related to supported tokens. PRLZ Swap does not guarantee liquidity availability, pricing accuracy, or the outcome or execution of any trade conducted through the platform.
6.5.2
Reef Marketplace
The Reef Marketplace enables secondary trading of CHLZ instruments within the protocol. Once configured, CHLZ are automatically listed and become available for market participation. Users are able to purchase either the entire CHLZ or, where applicable, available fractions, depending on the structure of the instrument. The marketplace also provides visibility into performance metrics, including cycle status, token exposure, and accumulated value associated with each CHLZ. Listing, bidding, and trade settlement operate according to the governing protocol conditions and the marketplace.
7.
SECTION 7: APPLICATION BINARY INTERFACE (ABI) & API TERMS OF USE
7.1
License Grant & Restrictions
Subject to strict compliance with these Terms and any additional agreements with MOBI Automation, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the ABI solely for the processes and protocols on our platform. Interacting with approved smart contract functions in accordance with our documentation. Prohibited uses include: Reverse engineering, decompiling, or modifying the ABI or API, using the ABI or API for unauthorised off-platform transactions or third-party integration, or exploiting the ABI for arbitrage, spam, or disruptive network activity.
7.2
Availability & Disclaimers
The ABI may be intermittently unavailable due to maintenance, upgrades, or force majeure events. We are not responsible for incorrect orders, failed transactions, or losses due to ABI malfunctions or misuse. We may update, deprecate, or restrict ABI functionality without prior notice.
7.3
API Terms (If Applicable)
If accessing our API (Application Programming Interface), you further agree to the rate limits and adhere to published request thresholds. Retrieved data may only be used for internal purposes and resale or public redistribution is prohibited. The API keys are confidential; you are liable for unauthorized use.
7.4
Termination & Enforcement
We reserve the right to suspend or revoke ABI/API access for violations, security risks, or platform integrity concerns or impose limits on functionality (e.g., disabling specific methods) at our sole discretion.
8.
DISCLAIMER AND LIMITATION OF LIABILITY
8.1
Accuracy of Information and No Guarantees
We endeavor to verify the accuracy of any information displayed, supplied, passing through, or originating from the Services or Products, but such information may not always be accurate or current. We cannot and provide no guarantee whatsoever to the timeliness, accuracy, or completeness of any information (whether pricing, exchange rate, or otherwise) provided in connection with any Digital Asset, Service, or Product. Accordingly, you should independently verify all information before relying on it, and any decisions or actions taken based upon such information are your sole responsibility, and you assume all liability for any such decisions or actions.
8.2
Disclaimer of Warranties
MOBI AUTOMATION DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DATA ACCURACY, SYSTEM INTEGRATION, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
All services and products are provided “as is” and “as available.” We make no warranties regarding the content, information, or functions of the services or products, including any third-party links, or the security of information transmitted through the services or continuous, uninterrupted, timely, or error-free access to the services or products. Except as expressly stated in this agreement, no warranties are made for the benefit of any end user. By using the services, you acknowledge that you have not relied on any other representation or warranty from MOBI Automation or its affiliates.
8.2
Indemnification
You agree to indemnify and hold harmless MOBI Automation its affiliates, subsidiaries, directors, managers, members, officers, employees, and other customers, from any claims, demands, actions, damages, losses, costs, or expenses, including, without limitation, reasonable legal fees, arising out of or relating to your or any other person’s use of your credentials or the account in connection with:
use of the platform or products;
a reversal of payment instructions by you which results in a negative account balance;
breach of this Agreement or any other policy;
false, incomplete, or misleading information relied upon by us to verify your identity and source of funds, where applicable;
violation of any Applicable Law; or
violation of any rights of any other person or entity;
This indemnity shall apply to your successors and assigns and shall survive any termination or cancellation of this Agreement.
9.
SECTION 9: WARRANTIES & INDEMNIFICATION
You represent and warrant that:
9.1
Legal Capacity
You are of legal age, sound mind, and fully capable of entering binding agreements for blockchain transactions.
9.2
Organizational Authority
If acting on behalf of any entity, you are duly authorized to bind them to these Terms. The entity accepts liability for your actions.
9.3
Risk Acknowledgement:
You have thoroughly read these Terms (including the Section on Risk Disclosure), understand all associated risks, and have had the opportunity to request clarifications.
9.4
Regulatory Compliance
Neither you nor affiliated parties are subject to sanctions or investigations under AML/CTF, anti-corruption, or economic sanction laws or engaging in unlawful activities through our Platform.
9.5
Proper Platform Use
You will not disrupt Platform functionality or use it for fraudulent/harmful purposes.
9.6
Wallet Ownership
All provided deposit/withdrawal addresses are exclusively owned and controlled by you.
9.7
You agree to defend and indemnify MOBI Automation against all third-party claims arising from your breach of these Terms, unauthorized use of the Platform/APIs, or violations of applicable laws.
10.
Section 10: STORAGE
10.1
The platform operates a hybrid data storage framework. Certain information, including transactional records and smart contract interactions, is stored on a decentralized blockchain, ensuring immutability, transparency, and public verifiability by design. Other information, including personal, system, or membership-related data, is stored off-chain in secure environments subject to technical and organizational safeguards.
10.2
While reasonable measures are implemented to protect off-chain data, no system can provide absolute security or uninterrupted availability.
